Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between you and ClientSpine ("we," "us") governing your use of the ClientSpine website and platform. By creating an account or using the service, you agree to these Terms. You must be at least 18 and using the service for business purposes.

2. What ClientSpine is — and isn't

ClientSpine is communication software for real estate professionals. We are not a real estate brokerage or property manager, and nothing in the service is real estate, legal, tax, or financial advice. You remain solely responsible for your professional obligations, your brokerage's policies, and compliance with the laws that govern your business, including fair housing and advertising rules.

3. Accounts & seats

Keep your account credentials secure; you're responsible for activity under your account. Team plans include a set number of seats; agent and watcher accounts you create are your responsibility, and you'll ensure your team members follow these Terms.

4. Your clients' data

You own the client data you enter. You grant us a license to host, process, and transmit it solely to operate the service on your behalf. You represent that you have the right to enter and use this data, including consent for text messaging where required (we provide consent logging and STOP handling to help, but legal compliance — including TCPA and CAN-SPAM — is yours).

The optional document scan tool processes uploaded PDFs in memory only and stores just the fields you approve. Document contents may be transmitted to our AI provider (Anthropic) for processing; files and their text are not retained by us.

To operate the service, ClientSpine also records activity such as when an email you send is opened, when a client views or downloads a document, and when a client signs into their portal, and shows those receipts to you and your team so you know what your clients have seen. You'll ensure your clients understand and accept this tracking, and you won't use it in ways that violate applicable law or your own policies.

5. Acceptable use

Don't use the service to send spam or unlawful communications, violate fair housing or other laws, upload malicious code, misrepresent your identity, resell the service without authorization, or attempt to breach the platform's security. We may suspend accounts that put the platform or its users at risk.

We work to keep the service available and improve it continuously, but it is provided "as is" and "as available" without warranties of any kind, express or implied. Features may change; we won't materially reduce core functionality of your plan during a paid term without notice.

8. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, or punitive damages, or lost profits or data. Our total liability for any claim relating to the service is limited to the amounts you paid us in the 12 months before the claim arose.

9. Indemnification

You'll defend and hold us harmless from claims arising out of your client data, your communications sent through the service, or your violation of these Terms or applicable law.

10. Termination & data export

You may close your account anytime. We may suspend or terminate accounts for material breach. After closure, you have 30 days to export your data before it's deleted per our Privacy Policy.

11. Governing law & disputes

These Terms are governed by the laws of the State of North Carolina, and disputes will be resolved in the state or federal courts located in North Carolina, unless applicable law requires otherwise.
